How buyers value a HVAC business
Owner-operated shops sell on a multiple of SDE to individual buyers, many using SBA loans. Once adjusted EBITDA reaches roughly $1M+, PE-backed platforms and strategic buyers start pricing on EBITDA, and maintenance-agreement revenue and technician depth move the multiple most.
Rule of thumb on revenue: 0.4-0.75x revenue on Main Street deals (BizBuySell sold middle half 0.38-0.74x). Use it only as a sanity check; buyers pay for cash flow they can finance.

Why do maintenance agreements matter so much?
They are recurring revenue that survives an ownership change and feeds replacement sales. Buyers treat a large, active membership base as the main reason to pay the top of the range.
Does my HVAC contractor license transfer?
Usually not. In California, for example, the CSLB says a license is not transferable and a new entity needs its own license. Licenses tied to a qualifying individual mean the buyer needs a qualifier in place before closing.
Is my EPA 608 certification part of the sale?
No. EPA Section 608 certification belongs to the individual technician, not the company, so the buyer relies on the technicians who stay.
Is this an appraisal?
